Partner Terms of Use

These Partners Terms of Use (“Partner Terms”) apply to businesses and organizations (“Partner,” “you”) that participate in Growtele partner programs, resell or refer Growtele communication services, or otherwise use partner-facing tools made available by Growtele (“Growtele,” “we,” “us,” or “our”). These Partner Terms supplement any signed partner agreement, order form, or master services agreement between you and Growtele.

1. Partner Eligibility

Partners must be duly organized businesses with authority to enter binding contracts. You represent that your organization and personnel meet applicable legal and regulatory requirements to market, resell, or support communication services in the territories where you operate.

2. Partner Account

Access to partner portals, documentation, or commercial tools may require a partner account. You are responsible for credential security and for ensuring that only authorized representatives use partner resources on your behalf.

3. Partner Responsibilities

As a Partner, you agree to represent Growtele accurately, provide competent support to your customers where applicable, and comply with program guidelines communicated by Growtele. You will not make misleading claims about features, pricing, availability, or compliance status.

4. Accurate Business Information

You will provide and maintain accurate registration, billing, and contact information. Notify us promptly of material changes to your business structure, ownership, or regulatory status that may affect the partnership.

5. Use of Partner Services

Partner tools and materials are provided solely to promote and support authorized use of Growtele Services, including SMS, WhatsApp, RCS, email, and cloud telephony offerings described on our website. You may not sublicense platform access except as expressly permitted in writing.

6. Content and Intellectual Property

Growtele retains all rights in its trademarks, product names, documentation, and marketing materials. We may grant you a limited, revocable license to use approved assets in connection with the partnership. You may not modify Growtele branding or create derivative marks without prior written approval.

7. Customer and User Data Responsibilities

If you collect or process end-customer data in connection with Growtele Services, you are responsible for lawful collection, consent, and use of that data. You will flow down appropriate terms to your customers and cooperate with Growtele on data subject requests or security matters as required by law and your agreements.

8. Compliance With Applicable Laws

You will comply with telecommunications, messaging, marketing, privacy, and consumer protection laws applicable to your activities and customer base, including rules governing promotional messages, opt-in consent, and do-not-contact registries where relevant.

9. Third-Party Integrations

Integrations with third-party CRM, marketing, or business systems may be offered as part of the platform ecosystem. You are responsible for your configuration and use of integrations and for compliance with third-party terms.

10. Prohibited Activities

Partners may not engage in spam, fraud, illegal robocalling or messaging, phishing, harassment, or use of the Services for unlawful content. You may not attempt to bypass usage limits, resell without authorization, or misrepresent your relationship with Growtele.

11. Fees and Payments

Commercial terms, commissions, discounts, and payment schedules are defined in your partner or customer agreement. Unless otherwise agreed in writing, you are responsible for taxes associated with amounts payable to or by you under that agreement.

12. Suspension and Termination

We may suspend or terminate partner access for violation of these Partner Terms, applicable law, or a signed agreement; for risk to platform integrity; or for non-payment where relevant. Upon termination, you must cease use of Growtele partner materials and confidential information.

13. Confidentiality

Non-public information shared by either party regarding pricing, product roadmaps, security, or customers must be protected and used only for the partnership, except as required by law or with consent.

14. Disclaimers

Partner resources and the underlying Services are provided as described in your agreement and our general Terms & Conditions. Except as expressly stated in writing, partner tools and materials are provided without additional warranties.

15. Limitation of Liability

To the maximum extent permitted by law, Growtele’s liability arising from the partner relationship is limited as set forth in your governing agreement with us, or otherwise as described in our Terms & Conditions if no separate cap applies.

16. Indemnification

You agree to indemnify Growtele against claims arising from your marketing practices, your customers’ use of the Services, or your breach of these Partner Terms or applicable law, except to the extent caused by Growtele’s gross negligence or willful misconduct.

17. Changes to Partner Terms

We may update these Partner Terms by posting a revised version on this page. Material changes may also be communicated through partner channels. Continued participation after updates become effective constitutes acceptance unless your signed agreement states otherwise.

18. Governing Law and Jurisdiction

These Partner Terms are governed by the laws of the Republic of India, unless your signed partner agreement specifies a different governing law. Disputes shall be resolved in accordance with that agreement or, if silent, in courts of Noida, Uttar Pradesh, India.
